Membership Terms & Conditions

Purpose

This Membership Agreement sets out the terms and conditions for participation in Di5.

Di5 is Norway's leading cluster for defence innovation. We unite major defence companies, cutting-edge startups, investors and the military.

Di5 aims to strengthen Norway’s defence and dual-use innovation ecosystem by:

  • Uniting the defence industry and building “one way in”
  • Enabling effective collaboration between industry, startups, investors, academia, the military, and government
  • Supporting efforts to radically increase innovation in the delivery of cutting-edge battlefield systems and capabilities
  • Driving down costs and increasing iteration speed in the defence industry by introducing new technology and development models
  • Supporting efforts to enable the testing and development of new defensive capabilities

Membership signifies the Member’s commitment to contribute to these goals.

Membership Benefits

Subject to timely payment of membership fees, Members are entitled to:

  • Participation in Di5 networking events, workshops, and forums
  • Access to Di5’s matchmaking, news & intelligence, and R&D hub services
  • Eligibility to participate in Di5 projects, initiatives, and pilot programs
  • Visibility through Di5’s communication channels (website, Di5 Dispatch, etc)
  • Representation of industry needs in dialogue with partners and governmental agencies

Membership Obligations

Members agree to:

  • Actively support the goals and mission of Di5
  • Pay annual membership fees as set by the Steering Committee
  • Respect confidentiality of information shared within Di5, unless otherwise agreed
  • Avoid conduct that could harm Di5’s reputation or the integrity of Di5

Governance & Participation

  • Di5 is governed by its Sterring Committee, with balanced representation of all members and their interests.
  • Members may be invited to participate in advisory forums, steering committees, or project groups.
  • Strategic decisions, fee levels, and amendments to statutes are taken by the Steering Committee.
  • The Managing Director of Di5 shall report to the Steering Committee.

Fees & Payment

  • Membership fees are determined annually by the Steering Committee.
  • Fees are due annually or monthly and payable as determined by the agreed payment schedule.
  • Failure to pay within 30 days of due date may result in suspension of membership.

Term & Termination

  • This Agreement enters into effect on the date of acceptance and continues until terminated.
  • Membership is for one year, and renews annually. Fees already paid are non-refundable.
  • The Steering Committee may terminate a membership for material breach of obligations, including non-payment or conduct harmful to Di5.

Confidentiality

Both Di5 and Members agree to treat non-public information exchanged within Di5 as confidential, unless:

  • Disclosure is required by law or regulation, or
  • The information is already public domain.

Liability

Di5 shall not be liable for indirect or consequential damages arising from membership participation. Members remain responsible for their own activities, costs, and compliance with regulations.

Privacy

Data and information stored by Di5 is governed by our Privacy Policy. See more here: www.di5.no/privacy

Governing Law & Dispute Resolution

This Agreement shall be governed by Norwegian law. Any disputes shall be resolved through good-faith negotiations. If unresolved, disputes shall be subject to arbitration in Kongsberg, Norway.
